Terms and Conditions
Legal Terms
Welcome to Supernova (“Supernova”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website, services, deliverables, software, and related offerings.
By engaging Supernova, accessing our website, or using our services, you agree to these Terms together with any proposal, Statement of Work (“SOW”), order form, or other written agreement entered into between you and Supernova.
If there is a conflict between these Terms and a signed agreement or SOW, the signed agreement or SOW will take precedence.

2. Project scope
Each engagement will have an agreed scope.
Anything not expressly included in the agreed scope is considered outside the engagement and may require additional time, fees, or a separate SOW.
Changes to requirements, deliverables, timelines, technical constraints, integrations, or assumptions may affect project cost and delivery dates.
Where material changes arise, we will discuss the impact with you before proceeding.
3. Client responsibilities
You agree to provide the information, access, feedback, approvals, systems, credentials, documentation, and personnel reasonably required for us to perform the services.
You are responsible for ensuring that:
information supplied to us is accurate and complete
you have the necessary rights to provide data, content, systems, and intellectual property to us
relevant stakeholders are available when required
feedback and approvals are provided within agreed timelines
you disclose material legal, regulatory, technical, security, or operational requirements that may affect the project
Delays caused by missing information, access, approvals, or client dependencies may result in changes to the delivery timeline.
4. Fees and payment
Fees and payment schedules will be stated in the applicable proposal, invoice, SOW, or agreement.
Unless otherwise agreed in writing:
invoices must be paid by the stated due date
taxes, duties, or similar charges are the client’s responsibility where applicable
work may be paused if invoices become overdue
additional work outside the agreed scope may be charged separately
deposits or milestone payments may be non-refundable once the relevant work has commenced
Any specific refund or cancellation terms will be stated in the applicable agreement.
5. Intellectual property
Unless otherwise agreed in writing, once all applicable fees have been paid, you will own the final client-specific deliverables created specifically for your project.
This may include, where applicable:
product designs
source code
project-specific documentation
client-specific research
requirements
architecture created specifically for the engagement
product recommendations
project-specific data models
project-specific deliverables
Supernova retains ownership of its pre-existing and reusable intellectual property, including:
methodologies
frameworks
templates
internal tools
processes
reusable code
libraries
design systems not created exclusively for the client
development utilities
know-how
scoring systems
internal automation
general technical patterns
Where Supernova-owned intellectual property is incorporated into a client deliverable, you are granted a licence to use that material as reasonably necessary to use the final deliverable.
Third-party and open-source software remain subject to their respective licences.
6. Portfolio and attribution
Unless confidentiality obligations or a separate agreement prevent us from doing so, we may identify you as a client and reference the general nature of the work performed.
We will not publicly disclose confidential business information, source code, commercially sensitive data, or unpublished product details without appropriate permission.
If a project must remain entirely confidential, this should be agreed in writing.
7. Third-party services and platforms
Projects may rely on third-party products and services including cloud providers, payment platforms, AI model providers, APIs, software libraries, hosting platforms, analytics tools, development frameworks, and other infrastructure.
These may include services such as AWS, Vercel, Supabase, Stripe, OpenAI, Anthropic, Google, and other providers appropriate to the project.
Third-party services are governed by their own terms, pricing, availability, security policies, and service levels.
Supernova is not responsible for outages, policy changes, pricing changes, discontinued services, security incidents, or other failures caused by third-party providers outside our reasonable control.
8. AI-assisted development
Supernova may use artificial intelligence tools as part of research, design, software development, testing, documentation, analysis, and delivery.
AI-assisted development is used to improve speed and productivity, not to replace professional judgement.
Senior engineers, designers, and product specialists remain responsible for decisions relating to architecture, security, user experience, quality, and production deployment.
Where AI systems form part of the product itself, their behaviour may depend on third-party models, data sources, prompts, configurations, and external services.
AI-generated outputs may occasionally be inaccurate, incomplete, inconsistent, or unexpected. Appropriate review, evaluation, monitoring, and safeguards will be applied based on the nature and risk of the system.
9. Client data and confidential information
Each party agrees to protect confidential information received from the other party and to use it only for purposes related to the engagement.
Confidential information does not include information that:
is already publicly available
becomes public through no breach of these Terms
was lawfully known before disclosure
is lawfully received from another source
is independently developed without using confidential information
We will take reasonable steps to protect client information provided to us.
Where a project requires specific security, privacy, residency, compliance, or data-processing requirements, these must be identified and agreed as part of the engagement.
10. Security
We design and deliver systems with security appropriate to the scope, architecture, data sensitivity, and risk profile of the project.
However, no software, network, cloud environment, AI system, or online service can be guaranteed to be completely secure.
Unless specifically included in the scope, our services do not constitute formal penetration testing, security certification, legal compliance certification, or an independent security audit.
11. Regulatory and compliance requirements
You are responsible for determining which laws, regulations, industry standards, and compliance obligations apply to your business and product.
Where relevant, Supernova may design systems with requirements such as GDPR, PCI DSS, SOC 2, HIPAA, financial-services requirements, or other standards in mind.
Unless expressly agreed otherwise, our work does not constitute legal advice, regulatory certification, or a guarantee of compliance.
Clients should obtain independent legal or regulatory advice where required.
12. Project estimates and timelines
Project timelines, development estimates, cost estimates, forecasts, and technical assumptions are based on the information available at the time they are prepared.
Software projects can be affected by changing requirements, third-party dependencies, technical discoveries, regulatory requirements, client delays, and other factors.
We will make reasonable efforts to meet agreed timelines but do not guarantee delivery dates unless specifically stated in a signed agreement.
13. Product and commercial outcomes
Supernova provides product, design, engineering, and strategic expertise, but no software project can guarantee a particular commercial outcome.
We do not guarantee:
product-market fit
customer adoption
revenue
funding
profitability
user growth
market share
investment returns
acquisition or exit outcomes
Our role is to help improve the quality of product and engineering decisions and execute the agreed work to a professional standard.
14. Warranties
We will perform our services with reasonable professional care and skill.
Unless specifically agreed in writing, services and deliverables are otherwise provided without additional warranties to the fullest extent permitted by applicable law.
We do not warrant that software will operate indefinitely without interruption, that every defect will be eliminated, or that third-party services will remain continuously available.
15. Limitation of liability
To the fullest extent permitted by applicable law, Supernova will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill.
Unless otherwise agreed in writing, Supernova’s total aggregate liability relating to an engagement will not exceed the amount paid by the client to Supernova for the services giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
16. Suspension and termination
Either party may terminate an engagement in accordance with the termination provisions in the applicable SOW or agreement.
We may suspend or terminate services where:
invoices remain unpaid
the client materially breaches an agreement
required access or cooperation is repeatedly withheld
continued work could create legal, security, ethical, or operational risk
the services are being used unlawfully
On termination, fees remain payable for work completed and committed costs incurred up to the effective termination date.
Where appropriate and subject to payment of outstanding amounts, we will provide completed client-owned deliverables created up to that point.
17. Team augmentation
Where Supernova personnel work alongside a client team, Supernova remains responsible for the employment or contractual relationship with its personnel unless otherwise agreed.
The client agrees not to directly employ or contract Supernova personnel introduced through an engagement during the project or for any restricted period specified in the applicable agreement without written consent.
Any specific non-solicitation terms will be defined in the relevant agreement.
18. Acceptable use
You must not use our services or deliverables to knowingly:
violate applicable law
infringe intellectual property rights
compromise the security of another system
distribute malicious software
engage in fraud or unlawful surveillance
misuse AI systems in ways prohibited by applicable law or relevant provider terms
We may decline or stop work that we reasonably believe creates serious legal, security, or ethical risk.
19. Force majeure
Neither party will be responsible for delays or failures caused by circumstances beyond reasonable control, including natural disasters, widespread internet or cloud outages, war, civil unrest, government action, labour disruption, or failures of critical third-party infrastructure.
20. Changes to these Terms
We may update these Terms periodically.
The version applicable to a specific engagement will generally be the version in effect when the engagement begins unless otherwise agreed.
Material changes affecting an existing signed engagement will not override the signed agreement without appropriate written agreement between the parties.
